1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of iranartistrelief.org (the “Website”) and all inquiries, reservations, purchases, and other transactions made in connection with Continuum: Artist Relief for Iran (“Continuum”), an initiative operated by Duran Art Projects Inc. (“DAP”, “we”, “us”, or “our”).

Please read these Terms carefully before using the Website or purchasing an artwork.

By using the Website for transactional purposes, submitting a purchase request, accepting an invoice, making payment for an artwork, or otherwise completing a transaction through Continuum, you agree to be bound by these Terms together with our Shipping Policy and Privacy Policy, each of which is incorporated into these Terms by reference.

If you do not agree to these Terms, you should not submit a purchase request or purchase an artwork through the Website.

Nothing in these Terms is intended to exclude, restrict, or waive any rights that cannot lawfully be excluded, restricted, or waived under applicable consumer protection legislation.

2. About Continuum

Continuum: Artist Relief for Iran is an initiative presented and operated by Duran Art Projects Inc.

The Website provides access to a curated selection of original artworks and facilitates inquiries, reservations, purchases, payment coordination, documentation, and subsequent delivery arrangements.

For purposes of purchases made through the Website, Duran Art Projects Inc. is the entity responsible for administering the transaction with the purchaser.

References to “Continuum” or “Artist Relief for Iran” describe the initiative and do not identify a separate legal entity.

3. Eligibility to Purchase

You must be at least eighteen (18) years of age and legally capable of entering into a binding agreement to purchase an artwork through the Website.

By submitting a purchase request or completing a transaction, you represent that:

  • the information you provide is accurate and complete;
  • you are legally authorized to enter into the transaction;
  • where you act on behalf of another individual or organization, you have authority to do so; and
  • your purchase and payment comply with applicable laws.

DAP may request reasonable additional information where necessary to verify a purchaser, payment, or transaction.

4. Artwork Information

DAP makes reasonable efforts to ensure that information presented for each artwork is accurate at the time of publication.

Artwork information may include the artist’s name, title, year, medium, dimensions, price, images, location, and other relevant details.

Original artworks are unique objects, and photographs and digital reproductions cannot perfectly represent their physical appearance.

Colours, textures, surfaces, scale, tonal variations, details, and other visual characteristics may appear differently depending on photography, lighting, screen calibration, display settings, and the device used to view the Website.

Minor discrepancies that do not materially alter the identity or essential nature of an artwork shall not, by themselves, constitute grounds for cancellation or refund, subject always to rights available under applicable law.

5. Artwork Condition

Unless expressly stated otherwise, artworks are offered in their existing condition at the time of sale.

Because artworks may involve handmade processes, experimental materials, historical materials, artist-specific techniques, or natural ageing, they may contain variations, irregularities, marks, surface characteristics, handling traces, craquelure, or other characteristics consistent with their medium, age, production, history, or artistic process.

DAP does not routinely provide separate condition reports for artworks offered through Continuum.

The absence of a separate condition report does not constitute a representation that an artwork is in perfect or flawless condition.

DAP will make reasonable efforts not to knowingly omit material condition information that would substantially affect the nature of an artwork.

6. Artwork Availability

All artworks are subject to availability.

The appearance of an artwork on the Website does not guarantee that it remains available for purchase.

Because availability may change rapidly and transactions may be coordinated directly with artists, galleries, custodians, or other parties, an artwork may become unavailable before a purchase is completed.

DAP reserves the right to update an artwork’s availability at any time.

7. Purchase Requests

Submitting a purchase request through the Website constitutes an expression of interest in purchasing an artwork. It does not itself constitute a completed sale, acceptance by DAP, or guarantee that the artwork will be available.

DAP will review the request and confirm availability.

If the artwork is available, DAP may confirm the reservation in writing and provide the purchaser with an invoice and payment instructions.

DAP is under no obligation to accept a purchase request.

8. Reservations

A reservation begins when DAP confirms the reservation to the prospective purchaser in writing.

Unless DAP expressly agrees otherwise in writing, each reservation is valid for forty-eight (48) hours from the time the reservation is confirmed.

During the reservation period, DAP will ordinarily hold the artwork for the purchaser while payment is arranged.

If cleared payment in full is not received within the 48-hour reservation period, DAP may, without further notice, release the reservation and make the artwork available to another purchaser.

Submission of an inquiry or purchase request alone does not reserve an artwork.

DAP may extend a reservation at its discretion. Any extension must be confirmed by DAP in writing.

9. Formation of the Sale

A purchase request, reservation confirmation, invoice, or provision of payment instructions does not by itself constitute a completed sale.

A sale becomes final only when:

  1. DAP has received cleared payment in full for the artwork; and
  2. DAP has issued written confirmation that the purchase has been completed.

Following confirmation of the completed sale, DAP will issue the purchaser a digital Certificate of Authenticity for the artwork.

A printed Certificate of Authenticity will also accompany the artwork when it is shipped to the purchaser.

10. Pricing

Unless otherwise stated, artwork prices displayed on the Website are denominated in United States dollars (USD).

Prices may be changed before an artwork has been reserved or sold.

Once DAP confirms a reservation and issues an invoice, the amount stated on that invoice will govern the transaction during the applicable reservation period.

Artwork prices do not include shipping, insurance, customs duties, import taxes, VAT, brokerage charges, banking charges, currency conversion costs, or other expenses unless expressly stated otherwise.

11. Currency Conversion

Although artwork prices are displayed in USD, DAP may require or permit payment in Canadian dollars (CAD) or another approved currency.

Where payment is required in CAD, DAP will provide the applicable CAD amount on the purchaser’s invoice based on the exchange rate applied by DAP at the time the invoice is issued.

The CAD amount stated on the invoice shall be the amount payable during the applicable reservation period.

The purchaser is responsible for any exchange-rate differences, foreign-exchange charges, conversion fees, or other charges imposed by the purchaser’s bank or financial institution.

12. Payment

Payment must be made using a payment method specified on the invoice or otherwise approved by DAP.

Available payment methods may vary depending on the purchaser’s location, currency, transaction value, banking requirements, regulatory requirements, and payment services available to DAP at the time of purchase.

Payment methods may include bank wire transfer, electronic bank transfer, or payment through an approved third-party payment service provider.

DAP may add, remove, or change available payment methods without amending these Terms.

Payment is not considered received until funds have cleared and are available to DAP.

13. Bank and Transaction Fees

The purchaser is responsible for all bank charges, wire-transfer fees, correspondent or intermediary bank fees, foreign-exchange charges, currency-conversion charges, and other transaction costs associated with making payment.

DAP must receive the full amount stated on the invoice, without deduction for such fees or charges.

If DAP receives less than the invoiced amount because fees have been deducted during transmission, the outstanding balance remains payable before the transaction can be completed.

14. Payment Verification and Fraud Prevention

DAP may take reasonable steps to verify a purchaser’s identity, payment, billing information, or other transaction details.

DAP may delay, decline, or cancel a transaction where it reasonably believes that:

  • payment information cannot be verified;
  • unauthorized or fraudulent activity may be involved;
  • information supplied by the purchaser is materially inaccurate;
  • the transaction presents unusual legal, financial, regulatory, or compliance concerns; or
  • additional verification is reasonably necessary.

DAP is not responsible for delays caused by reasonable payment or compliance verification.

15. Errors and Corrections

DAP makes reasonable efforts to ensure that artwork descriptions, dimensions, prices, availability, and other Website information are accurate.

However, typographical, administrative, technical, pricing, currency-conversion, or other errors may occasionally occur.

DAP reserves the right to correct errors and, where an error is material, decline or cancel a transaction before completion.

If a material error is discovered after payment has been received but before the transaction can reasonably be completed, DAP may cancel the transaction and refund the amount received from the purchaser.

16. DAP’s Right to Decline or Cancel a Transaction

DAP reserves the right to decline a purchase request or cancel a transaction where reasonably necessary, including where:

  • an artwork is no longer available;
  • an artwork has inadvertently been reserved or sold more than once;
  • a material listing or pricing error has occurred;
  • the artist, gallery, custodian, or other person responsible for the artwork is unable to make it available;
  • payment cannot be verified;
  • DAP reasonably suspects fraud or unauthorized activity;
  • legal, banking, sanctions, export, customs, or regulatory concerns arise;
  • completing the transaction would violate applicable law; or
  • completion becomes reasonably impossible due to circumstances outside DAP’s control.

Where DAP cancels a transaction after receiving payment and the purchaser is not responsible for the cancellation, DAP will refund the amount received in respect of the artwork, subject to applicable law.

17. Final Sales, Returns and Cancellations

All artwork sales are final.

Except where otherwise required by applicable law, once a sale has been completed in accordance with Section 9, DAP does not accept:

  • returns;
  • exchanges;
  • change-of-mind cancellations; or
  • requests for refunds based solely on personal preference.

Purchasers are encouraged to carefully review the artwork information, dimensions, medium, images, shipping requirements, and these Terms before completing a purchase.

Nothing in this section limits any cancellation, refund, or other consumer right that cannot lawfully be excluded under applicable legislation.

18. Certificates of Authenticity

Every completed artwork purchase will receive a digital Certificate of Authenticity.

A printed Certificate of Authenticity will accompany the artwork when shipped.

Certificates form part of the documentation associated with the artwork and should be retained by the purchaser for provenance purposes.

Loss or destruction of a Certificate of Authenticity after delivery does not itself invalidate ownership of the artwork.

Any replacement or reissuance of a certificate is at DAP’s discretion and may require reasonable verification of ownership and provenance.

19. Authenticity and Attribution

DAP makes reasonable efforts to accurately identify and describe artworks offered through Continuum and relies, where appropriate, upon information supplied by artists, galleries, custodians, or other relevant sources.

Nothing in these Terms should be interpreted as guaranteeing that future scholars, institutions, catalogues raisonnés, authentication committees, or other third parties will never reach a different conclusion regarding attribution, date, medium, provenance, or other scholarly matters.

This provision does not limit any rights that cannot lawfully be excluded.

20. Copyright and Ownership of Intellectual Property in Artworks

Purchasing an artwork transfers ownership of the physical artwork only.

Copyright, moral rights, reproduction rights, and other intellectual property rights in the artwork remain with the artist or applicable rights holder unless expressly transferred in writing.

Purchasers may not commercially reproduce, publish, manufacture, license, distribute, tokenize, merchandise, or otherwise commercially exploit the artwork or its image merely because they own the physical artwork.

Nothing in a purchase constitutes an assignment or licence of copyright except as expressly stated in writing.

21. DAP’s Use of Artwork Images

Images of artworks displayed through Continuum may remain in DAP’s archives following a sale and may continue to appear in archival, curatorial, educational, editorial, documentary, promotional, or historical materials relating to Continuum or DAP.

A purchaser’s ownership of the physical artwork does not create ownership of such images or associated intellectual property rights.

22. Shipping & Delivery

All purchases are subject to DAP’s Shipping Policy, which forms part of these Terms.

Purchasers acknowledge that shipping arrangements vary depending on the artwork’s location.

In particular, artworks originating from Iran may require specialized international logistics and currently carry an estimated delivery timeframe of three (3) to six (6) months, although delivery may occur sooner.

Purchasers acknowledge that this timeframe is an estimate rather than a guaranteed delivery date.

Works located outside Iran may be available for immediate shipment where indicated on the applicable artwork page.

23. Preparation of Works for Shipment

Purchasers acknowledge that, as described more fully in the Shipping Policy, two-dimensional artworks originating from Iran are generally shipped unframed and rolled in professional shipping tubes.

Paintings on canvas may be removed from their stretcher bars for shipment and will require professional re-stretching following delivery.

The purchaser is responsible for re-stretching, framing, installation, and associated costs after delivery unless DAP expressly agrees otherwise in writing.

24. Shipping Costs, Insurance and Import Charges

Shipping is not included in the artwork purchase price unless expressly stated otherwise.

The purchaser is responsible for applicable shipping costs and, as provided in the Shipping Policy, customs duties, import taxes, VAT, brokerage fees, and other destination-country charges.

Shipping arrangements and applicable costs will be coordinated once the artwork is ready for dispatch.

Insurance availability and terms may vary depending on destination and shipping method.

25. Title and Risk

Ownership of the physical artwork passes to the purchaser following receipt by DAP of cleared payment in full and written confirmation of the completed sale, subject to applicable law.

Risk of physical loss or damage will be governed by the Shipping Policy and any applicable mandatory law.

Nothing in this section transfers copyright or other intellectual property rights in the artwork.

26. International Trade, Sanctions and Regulatory Compliance

DAP operates from Canada and conducts transactions in accordance with applicable Canadian law and other legal requirements applicable to a particular transaction.

DAP may take any action reasonably necessary to comply with applicable:

  • sanctions;
  • export or import restrictions;
  • customs requirements;
  • banking requirements;
  • anti-money-laundering obligations;
  • anti-fraud requirements;
  • trade restrictions; or
  • other governmental or regulatory obligations.

DAP may request information reasonably necessary for compliance purposes.

DAP may refuse, suspend, reroute, delay, or cancel a transaction or shipment where reasonably necessary to comply with applicable law or where a financial institution, payment provider, logistics provider, governmental authority, or other relevant party prevents or restricts completion of the transaction.

Nothing on the Website should be interpreted as an offer to conduct a transaction where doing so would be unlawful.

27. Purchaser Representations

By purchasing an artwork, you represent that:

  • you are purchasing the artwork lawfully;
  • funds used for the purchase are from lawful sources;
  • you are not using the transaction to evade applicable sanctions, financial restrictions, or other laws;
  • information provided to DAP is truthful and accurate; and
  • you will provide reasonable additional information where legally required to complete the transaction.

28. Website Intellectual Property

Unless otherwise stated, the Website and its original content, design, graphics, text, branding, logos, layout, curatorial materials, editorial materials, databases, and other Website content are owned by or licensed to DAP and are protected by applicable intellectual property laws.

Artwork images and artist-related materials may be owned by the relevant artists or other rights holders and are used by DAP with permission or other lawful authority.

Website content may not be reproduced, copied, distributed, modified, republished, commercially exploited, or used to create derivative commercial materials without appropriate authorization.

29. Permitted Website Use

The Website is provided for personal, informational, curatorial, and transactional use in connection with Continuum.

You may not:

  • interfere with Website security or operation;
  • attempt unauthorized access to Website systems;
  • scrape, harvest, or systematically extract Website content or data without permission;
  • use automated systems to interfere with Website functionality;
  • impersonate another person;
  • submit fraudulent purchase requests;
  • use the Website for unlawful purposes; or
  • infringe the rights of DAP, artists, galleries, purchasers, or third parties.

DAP may restrict access to the Website where misuse is reasonably suspected.

30. Third-Party Services and Links

The Website may contain links to or rely upon services provided by third parties, including financial institutions, payment processors, shipping providers, galleries, social media services, or other external platforms.

DAP does not control third-party websites or services and is not responsible for their independent terms, privacy practices, availability, security, or content.

Use of third-party services may be subject to separate terms imposed by those providers.

31. Privacy

Personal information collected through the Website or in connection with a transaction is handled in accordance with DAP’s Privacy Policy and applicable privacy law.

By providing personal information, purchasers acknowledge that certain information may need to be shared with financial institutions, payment providers, shipping providers, professional advisers, regulatory authorities, or other parties where reasonably necessary to process a transaction, arrange delivery, prevent fraud, or comply with legal obligations.

32. Website Availability

DAP makes reasonable efforts to maintain the Website but does not guarantee uninterrupted, error-free, or continuously available access.

The Website may temporarily be unavailable because of maintenance, technical problems, security concerns, hosting interruptions, or circumstances outside DAP’s control.

DAP may modify, suspend, or discontinue Website functionality where reasonably necessary.

33. Limitation of Liability

To the fullest extent permitted by applicable law, DAP shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Website or a transaction through Continuum.

DAP shall not be responsible for loss or damage caused by circumstances outside its reasonable control, including actions or omissions of independent shipping carriers, financial institutions, payment processors, customs authorities, governmental authorities, internet service providers, or other independent third parties.

To the fullest extent permitted by applicable law, DAP’s aggregate liability arising from a particular artwork transaction shall not exceed the amount actually paid to DAP by the purchaser for the artwork giving rise to the claim, excluding shipping, customs, taxes, banking fees, and third-party charges.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

34. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless DAP and its directors, officers, employees, representatives, and agents from claims, liabilities, damages, losses, and reasonable costs arising directly from:

  • your unlawful use of the Website;
  • your material breach of these Terms;
  • fraudulent or materially false information provided by you;
  • your infringement of another person’s rights; or
  • your violation of applicable law.

This provision does not require a consumer to indemnify DAP for DAP’s own negligence, misconduct, or breach of law.

35. Force Majeure

DAP shall not be responsible for delay or failure to perform an obligation where performance is prevented or materially affected by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, war, civil unrest, political instability, governmental action, changes in law or regulation, sanctions, border restrictions, customs interruptions, transportation disruptions, labour disputes, banking restrictions, telecommunications failures, epidemics, pandemics, or other comparable events.

Where such circumstances affect a transaction, DAP may reasonably extend performance timelines, modify logistics arrangements, suspend performance, or, where completion becomes impossible or unlawful, cancel the affected transaction and provide any refund required under these Terms or applicable law.

36. No Waiver

A failure or delay by DAP in exercising any right under these Terms does not constitute a waiver of that right.

Any waiver must be expressly made by DAP in writing.

37. Severability

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue in full force and effect.

38. Entire Agreement

These Terms, together with the applicable invoice, Shipping Policy, Privacy Policy, and any other written terms expressly agreed between DAP and the purchaser in connection with a particular transaction, constitute the agreement governing that transaction.

In the event of a direct conflict relating to transaction-specific commercial terms, the applicable invoice or written agreement issued by DAP may prevail to the extent of that conflict, provided that mandatory rights under applicable law remain unaffected.

39. Governing Law and Jurisdiction

These Terms and transactions governed by them shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any mandatory rights, remedies, or jurisdiction available to a purchaser under applicable consumer protection or other laws that cannot lawfully be excluded, the parties submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, in relation to disputes arising from these Terms or transactions governed by them.

Before commencing formal proceedings, DAP and the purchaser are encouraged, where reasonably practicable, to attempt in good faith to resolve the matter directly.

40. Changes to These Terms

DAP may amend these Terms from time to time to reflect changes to its operations, Website, payment methods, legal requirements, or other circumstances.

Changes will be published on the Website together with an updated “Last Updated” date.

Unless required by law or expressly agreed with the purchaser, amendments will not retroactively alter the contractual terms governing a completed purchase.

41. Electronic Communications

Purchasers consent to receiving transaction-related communications electronically, including reservation confirmations, invoices, payment instructions, purchase confirmations, Certificates of Authenticity, shipping communications, and legal or administrative notices.

Electronic records and communications may be retained by DAP as part of its transaction records.

Purchasers are responsible for providing a valid email address and monitoring communications relating to their purchase.
